By accessing or using the Data Facets platform, creating an account, or clicking "I Agree" or similar acceptance mechanism, you ("User", "Customer", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not access or use the Service.
If you are accepting these Terms on behalf of a company, organization, or other legal entity ("Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms. In such cases, "you" and "your" will refer to that Organization.
You must be at least 18 years of age or the age of legal majority in your jurisdiction (whichever is greater) to use this Service. By using the Service, you represent and warrant that you meet this age requirement.
Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.
Data Facets is a cloud-based Software as a Service (SaaS) platform that provides data governance tools including, but not limited to:
Users are solely responsible for ensuring that no actual source data, sensitive data, or regulated data is uploaded to the Platform. The Platform accepts only descriptive metadata elements.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be subject to scheduled maintenance, unscheduled downtime, or unavailability due to factors beyond our control including but not limited to cloud infrastructure provider outages, network issues, force majeure events, or cyber incidents.
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

The Service operates on a multi-tenant architecture. Each Organization ("Tenant") has a segregated logical environment. Tenant administrators are responsible for managing user access within their Organization and ensuring their users comply with these Terms.
We reserve the right to suspend or terminate your account immediately, without prior notice or liability, if:
The Service is offered on a subscription basis. Available subscription plans, features, and pricing are displayed on our website and may be modified from time to time at our sole discretion.
We do not collect, store, process, or have access to your payment card information. All payment card data is transmitted directly to and processed exclusively by Stripe. We are not responsible for the security of payment card data handled by Stripe or any data breaches, unauthorized access, or security incidents occurring within Stripe's systems.
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. You authorize us (through Stripe) to charge your designated payment method for all applicable fees.
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.
Subscription fees are non-refundable except as required by applicable law. No refunds or credits will be provided for partial subscription periods, downgraded plans, or unused features.
We reserve the right to modify pricing at any time. Price changes will be communicated at least 30 days before the start of your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all such taxes, excluding taxes based on our net income.
You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended solely for managing metadata and data governance documentation.

We reserve the right to investigate suspected violations and take appropriate action, including removing content, suspending accounts, and cooperating with law enforcement authorities.
You retain all ownership rights to the metadata, definitions, descriptions, and other content you upload to the Service ("User Content"). We do not claim ownership of your User Content.
By uploading User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, process, copy, and display your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your User Content or close your account.

You may export your User Content at any time during your active subscription through the features provided in the Service. Upon termination, you will have a limited period (as specified in the termination notice) to export your data.
Upon account termination or at your request, we will delete your User Content in accordance with our data retention policies and applicable law, subject to any legal holds or regulatory requirements.
The Service, including its original content, features, functionality, software, design, logos, and trademarks, is owned by Data Facets Inc. and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it as provided herein.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback without restriction or compensation.
We implement industry-standard security measures designed to protect User Content, including encryption in transit and at rest, access controls, and regular security assessments. However, no method of electronic storage or transmission is 100% secure.
YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING INDEPENDENT BACKUPS OF YOUR USER CONTENT. While we may maintain backups for operational purposes, we do not guarantee the availability, completeness, or recoverability of backups and are not liable for any data loss.
In the event of a security incident affecting your User Content, we will notify you in accordance with applicable law and our security incident response procedures.
The Service is hosted on third-party cloud infrastructure providers. We are not responsible for the actions, omissions, or failures of such providers, including but not limited to service outages, data loss, security breaches, or discontinuation of services.
As stated in Section 4.2, all payment processing is handled by Stripe. We are not responsible for Stripe's services, security practices, or any issues arising from their payment processing.
The Service may integrate with or contain links to third-party services. Your use of such services is governed by their respective terms and privacy policies. We make no representations or warranties regarding third-party services and are not liable for any issues arising from their use.
We expressly disclaim all liability for any acts, omissions, failures, errors, security incidents, or data breaches by any third-party service providers, including but not limited to cloud hosting providers, payment processors, analytics providers, and any integrated services.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
WE DO NOT WARRANT THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME, THAT ACCESS WILL BE UNINTERRUPTED, THAT THERE WILL BE NO DELAYS, FAILURES, ERRORS, OR OMISSIONS, OR THAT DATA WILL NOT BE LOST.
WE MAKE NO WARRANTIES REGARDING THE RELIABILITY, AVAILABILITY, OR SECURITY OF ANY THIRD-PARTY CLOUD INFRASTRUCTURE PROVIDERS ON WHICH THE SERVICE DEPENDS. SERVICE AVAILABILITY IS SUBJECT TO THE PERFORMANCE AND UPTIME OF SUCH PROVIDERS, OVER WHICH WE HAVE NO CONTROL.
Any features designated as "beta," "preview," or "experimental" are provided without any warranty whatsoever and may be modified or discontinued at any time without notice.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DATA FACETS INC., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY:
ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100.00).

ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in English, in Delaware, United States.
YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING.
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdiction.
Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act shall not apply to these Terms.
We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will provide at least 30 days' notice before the changes take effect by posting the updated Terms on the Service and/or notifying you via email.
Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
We encourage you to review these Terms periodically. The "Last Updated" date at the top indicates when the Terms were last revised.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us regarding the Service and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Data Facets Inc..
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, power outages, internet or telecommunications failures, or failures of third-party service providers.
